This is a restaurant that is just being started in Miami, Florida. Your analysis and responses should be based on US law and Florida state law. Please keep in mind that you are working on a legal task. Limited-Liability Company (LLC) that files taxes as an S-Corporation. The LLC Corporation was formed in the state of Florida. The following are some of the reasons why an LLC Corporation was chosen as a corporate structure:
-A company like this protects its members from claims or lawsuits. If there is misconduct on his or her part, a member of the LLC is only accountable for the involvement he or she has, based on the amount of money invested.
-As a new business, it is a more convenient and simple recordkeeping entity.
-When compared to partnerships, LLCs have a more formal business structure and a more flexible system than corporations.
-Profits are not required to be dispersed in a proportional or even manner to ownership percentages.
-Allow international investors and skilled staff such as certified chefs to join the company. The advantage of forming an LLC is that you can have as many members as you need.
-It has a variety of tax filing options; in our instance, we chose to file as an S-Corporation, which avoids double taxation by passing revenue and costs through to the owners’ personal tax returns.
Scenario: Detailed product and/or service description: A local Latin restaurant that will prepare and deliver a variety of fresh foods, a “cantina” with a weekly menu or just single orders for people who work and don’t have enough time in a busy metropolis like Miami. “Calentico y a Su Gusto Restaurant, meals of your choice” is the name of our restaurant.
